Live Technical Chat Terms of Use

These Terms of Use set out the basis on which you are entitled to access and use the Live Technical Chat service (Live Technical Chat). When you register for Live Technical Chat you will be asked to confirm that you have read and understood these Terms of Use and that you agree to be bound by them.

1. INFORMATION ACCURACY AND AVAILABILITY OF LIVE TECHNICAL CHAT

All information provided by us as part of Live Technical Chat and any materials to which you are referred in the course of it are provided in good faith as a convenience to you and may be used for information purposes only and at all times in accordance with these Terms of Use.

We endeavour to ensure that such information and materials are correct and up to date. However, (to the maximum extent permitted by law) we make no representations or warranties (express or implied) that such information or materials are accurate, comprehensive, verified or complete. In particular, we make no representations or warranties (express or implied) concerning the fitness for any particular purpose of any such information or materials.

The information provided during Live Technical Chat and any materials to which you are referred in the course of it do not constitute any form of advice and/or recommendation. We do not undertake to update or correct any information and/or materials provided and we reserve the right to make improvements and/or changes to any information or materials we offer. Where we refer to external or third party websites, sources of information or reference materials (Sources), we do not recommend, sponsor or endorse those Sources.

While we try to ensure that Live Technical Chat is normally available during our usual hours of business, we will not be liable if, for any reason, Live Technical Chat or any of our operators are, at any time, unavailable for any period of time or at all. Access to this Live Technical Chat may be suspended temporarily or permanently without notice.

2. PRODUCT DETAILS

Information we provide may contain references or cross references to products, programs and services that are not announced or available in your country. This does not imply that we intend to announce such products, programs or services in your country. Please check with your local Farnell business contact.

3. ACCESS AND USE OF INFORMATION

Your access to Live Technical Chat is strictly limited to using the service and any information provided to you and any materials to which you are referred in the course of it solely for your legitimate personal or internal business use.

4. INTELLECTUAL PROPERTY RIGHTS NOTICE

The products, technology or processes described during Live Technical Chat and any materials to which you are referred in the course of it may be subject to intellectual property rights (including, but not limited to, rights in trade marks, trade secrets and patents) owned by or licensed to us. All rights in respect of such information and materials are reserved to us or to our third party licensors.

You may download to a local hard disk and/or print individual sections of materials for personal use and information or for the internal use of your business only and provided that you retain all copyright, other proprietary notices or other intellectual property notices contained in the original material on all downloads and/or copies made. Any file downloads are made at your own risk.

You acknowledge that all proprietary rights in and to such copyright material and/or materials attracting other intellectual property rights are and shall remain vested in us or our third party licensors and that you shall obtain no rights in respect of such materials other than as stated above.

5. INFORMATION PROVIDED BY YOU

We do not want to receive confidential or proprietary information from you through Live Technical Chat. You confirm that no information you send to us will be confidential or proprietary in nature and that we are free to use all information provided by you as we see fit (provided that any personal data will be governed by the terms of the Privacy section of these Terms below).

6. TERRITORY STATEMENT

Live Technical Chat should not be used by any person or entity in any jurisdiction where its use would be contrary to applicable laws, rules or regulations of any governmental authority or regulatory or self-regulatory organisation.

You must be satisfied that you are entitled to access and use Live Technical Chat. We accept no responsibility for unauthorised access or use.

7. LIABILITY

You acknowledge that Live Technical Chat is provided free of charge. We will make all reasonable efforts to assist you with any reasonable and genuine issue that you raise but accept no liability for failing to provide the service in the manner or at the times anticipated. It is the responsibility of the Customer to determine whether any information or materials provided are suitable for your intended use and no representations or warranties are provided in this regard.

We exclude to the fullest extent permissible at law all conditions, warranties and stipulations, express or implied, statutory, customary or otherwise which but for such exclusion, would or might subsist in your favour.

We shall not be liable WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, RESTRICTION OR OTHERWISE in respect of any claims or any direct, indirect, SPECIAL or consequential loss (including, without limitation, loss of profits, REVENUES, ANTICIPATED SAVINGS, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES) of any nature and whether arising directly or indirectly from the use of OR RELIANCE UPON the information and materials contained in or available through Live Technical Chat or otherwise howsoever arising WHETHER OR NOT WE HAVE BEEN ADVISED OF THE LIKELIHOOD OF SUCH LOSS. FOR THE AVOIDANCE OF DOUBT, NOTHING IN THESE TERMS OF ACCESS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE (INCLUDING OUR EMPLOYEES, SUB-CONTRACTORS OR AGENTS); FRAUD (INCLUDING, WITHOUT LIMITATION, FRAUDULENT MISREPRESENTATION); OR, FOR ANY OTHER MATTER WHICH IT WOULD BE ILLEGAL FOR US TO LIMIT OR EXCLUDE OUR LIABILITY (OR ATTEMPT TO DO SO).

Each of the Company's employees, agents and sub-contractors may rely on and enforce the exclusions and restrictions of liability in these Terms in that person's own name and for that person's own benefit

8. LAW AND JURISDICTION

Any use of Live Technical Chat shall at all times be governed by the laws of England and, in the event of any dispute, the relevant parties shall irrevocably submit to the non-exclusive jurisdiction of the Courts in England.

Any provision of these Terms which is held by any competent authority to be invalid, void, voidable, unenforceable or unreasonable (in whole or in part) shall to the extent of such invalidity, voidness, voidability, unenforceability or unreasonableness be deemed severable and the other provisions of these Terms and the remainder of such provision shall not be affected. Failure by us to enforce or partially enforce any provision of these Terms will not be constrained as a waiver of any rights under these Terms.

We are entitled, without your consent of or notice to you, to assign the benefit, subject to the burden, of these Terms to any company in our group of companies at any time.

9. PRIVACY

We take the privacy of our customers and prospective customers very seriously. The purpose of this statement is to set out the principles governing our collection and use of personal information we may obtain about you during the course of Live Technical Chat. By registering for Live Technical Chat, you are indicating that you have read this Privacy Policy and understand that your personal information may be used in accordance with it.

Please note that this policy only applies to the information you provide to us when registering for or using Live Technical Chat. You may provide the same or other information to us or other Companies in the Premier Farnell Group in connection with other transactions or dealings you have with us or those Companies and that information (even if the same supplied to us for Live Technical Chat) will be governed either by a separate policy applicable to those dealings or by the terms of the general Privacy Policy posted on our website or that of the relevant Company.

How we collect information about you

When you sign up for Live Technical Chat, we collect from you your name and email address. During the course of Live Technical Chat you will pass information to us in the context of your questions and we will respond. The majority of this information will not be personal data but, to the extent that you do disclose any personal data during these sessions, that information is retained in accordance with this Policy.

Live Technical Chat sessions are recorded, primarily for customer service, monitoring and security purposes. If you complete one of our surveys or provide feedback, the information you give then may also include personal data and will be given the same high standard of care as our other customer information and treated in accordance with this Policy and any statements of use in the survey or feedback form itself.

How we use your information

The information you provide in the course of Live Technical Chat is stored for us on the servers of LivePerson, the company which provides the software for Live Technical Chat. LivePerson process that information only in providing Live Technical Chat and are specifically restricted from using the information for any other reason or from selling or transferring that information on to any third parties (except where required to by law).

When that information is passed on to us and in relation to other personal data we get from you, we store that information on a Group database and it may be used by us or any other company in the Premier Farnell Group:

  • To provide Live Technical Chat, including contacting you in connection with any query you have raised;
  • For administration purposes or to help us develop and improve our offering;
  • For crime prevention or detection purposes.

To whom may we disclose your information?

We may need or wish to share your information with a limited number of others for a variety of reasons.

In connection with Live Chat

As LivePerson store the registrations for and messages exchanged during Live Technical Chat, we need to be able to share (both disclosing and receiving) your information with them.

Otherwise in connection with our business

For the purposes outlined above we may disclose your information to our service providers and agents who help us to carry on or advise us on how to develop our business (which may include other companies within the Premier Farnell Group, as well as reputable third party providers). We require them to treat your personal information as confidential and to comply with applicable data protection legislation in handling your personal information. In relation to data you provide for Live Technical Chat, this will not be done for marketing purposes.

Sometimes, in connection with the purposes outlined above, we may need to transfer your personal information to service providers and agents in countries (such as the USA) which do not provide the same level of data protection as you may be entitled to in your homeland. If we do make such a transfer we will put a contract in place to ensure your information is given the same level of protection as it would have had if it had remained in your country.

LivePerson are based in the USA and in registering for Live Technical Chat you are therefore consenting to the information you supply in the course of registration and through Live Technical Chat going to them in the USA. LivePerson are certified under the Safe Harbour scheme and have agreed with us that they will give your data the same level of protection as it was entitled to in your country.

 

For crime prevention, security or regulatory purposes

You should also be aware that we may pass on information to a law enforcement agency requesting it in connection with the commission of an offence, once we are reasonably satisfied as to the circumstances surrounding the request, or to comply with applicable laws and any lawful government or regulatory requests.

Security

We, and our providers, LivePerson, take the security of your personal information very seriously. Live Technical Chat uses Secure Socket Layer (SSL) encryption to protect the information exchanged. In addition to encryption which creates a secure channel to prevent others from tapping into the network, SSL provides authentication to verify the identity of the parties and message integrity to ensure that messages cannot be altered en route. Your data and the information you provide is maintained and archived on secure servers. Access to stored data is password protected and access to passwords is limited. Firewall technology is used to prevent unauthorised access and servers are backed up daily, with archives stored in a secure location.

Use of Cookies

A "cookie" is a piece of information that Live Technical Chat sends to your browser, which then stores this information on your system. A cookie allows Live Technical Chat to "remember" information about you either until you exit your current browser window (if the cookie is temporary) or until you disable or delete the cookie. Many users prefer to use cookies to help them to take advantage of a service or site as effortlessly as possible.

You should be aware that cookies contain no more information than you volunteer, and they are not able to "invade" your hard drive and return to the sender with personal or other information from your computer. If you choose not to accept a cookie, you will still be able to use Live Technical Chat.

Your choices

It is up to you how we use your information. If you would prefer that we did not use the data you provide to us in connection with registration for or use of Live Technical Chat in any of the ways set out in this Policy, please let us know at techsupport@farnell.com or by contacting one of our sales representatives. Please be aware however that doing so may impact on the service we provide you or may even mean that we cannot offer you Live Technical Chat.

Notification of changes

We may occasionally modify this Policy and, if we do so, we will publish the changes on this web page so please keep it under regular review. We will not, however, significantly change how we use the information you have already given us without your prior agreement.

Your rights to access personal information

You have the right of access to your personal records held on our files by written request to us on payment of a fee.
